These terms and conditions outline the rules and regulations for the use of Once Upon A Cohost's website and property management services, located at www.onceuponacohost.com.

By accessing this website or engaging our property management and co-hosting services, you accept these terms and conditions. Do not continue to use Once Upon A Cohost if you do not agree to all of the terms and conditions stated on this page.

For the purposes of these Terms and Conditions:

  • "Property Owner" or "Client" refers to the individual or entity who owns the rental property and contracts with Once Upon A Cohost for management services

  • "Guest" refers to individuals who book and stay at properties managed by Once Upon A Cohost

  • "Services" refers to property management, co-hosting, and related services provided by Once Upon A Cohost

  • "Property" refers to any short-term rental, vacation rental, or Airbnb property managed under our services

Property Management Services Overview

Once Upon A Cohost provides professional property management and co-hosting services for short-term rental properties including but not limited to:

  • Guest communication and support (24/7)

  • Listing optimization and pricing management

  • Cleaning and maintenance coordination

  • Review management and guest relations

  • Calendar and reservation management

  • Check-in and check-out coordination

Services are subject to a separate Service Agreement that will be executed between Once Upon A Cohost and the Property Owner.

Property Owner Responsibilities

As a Property Owner using our services, you agree to:

  • Provide accurate information about your property including legal ownership, zoning compliance, and HOA regulations

  • Ensure your property complies with all local, state, and federal laws regarding short-term rentals

  • Maintain adequate property insurance coverage including liability insurance

  • Ensure the property meets all health, safety, and building code requirements

  • Provide and maintain all necessary permits, licenses, and regulatory approvals for short-term rental operation

  • Disclose any known defects, hazards, or issues with the property

  • Maintain the property in good, rentable condition

  • Respond promptly to maintenance requests and emergency situations

  • Pay all applicable fees, taxes, and assessments related to property ownership and rental income

Service Limitations and Disclaimers

No Guarantees of Revenue or Occupancy

While Once Upon A Cohost strives to maximize your property's revenue and occupancy, we make NO GUARANTEES regarding:

  • Specific revenue amounts or occupancy rates

  • Booking frequency or seasonal performance

  • Market conditions or competitive positioning

  • Guest reviews or ratings

All revenue projections, estimates, and market analyses provided are based on historical data and current market conditions but are not guaranteed. Actual results will vary based on property condition, location, seasonality, market demand, and factors beyond our control.

Property Condition and Maintenance

Once Upon A Cohost is NOT responsible for:

  • Pre-existing property defects, damages, or maintenance issues

  • Structural problems, plumbing, electrical, HVAC, or appliance failures

  • Damage caused by natural disasters, weather events, or acts of God

  • Wear and tear from normal use

  • Property improvements or capital expenditures

We will coordinate repairs and maintenance on your behalf, but Property Owners are financially responsible for all maintenance, repairs, and associated costs.

Guest-Related Issues

Once Upon A Cohost is NOT responsible for:

  • Damages to property caused by guests (though we will assist in damage claims)

  • Guest injuries, accidents, or health issues occurring on the property

  • Guest complaints arising from property conditions or amenities

  • Lost, stolen, or damaged guest belongings

  • Guest violations of house rules or illegal activities

  • Disputes between guests and neighbors

We screen guests to the best of our ability but cannot guarantee guest behavior. Property Owners should maintain comprehensive property and liability insurance.

Third-Party Service Providers

Once Upon A Cohost coordinates with third-party vendors including:

  • Cleaning services

  • Maintenance and repair contractors

  • Landscaping services

  • Pool/spa maintenance

  • Handyman services

We are NOT liable for:

  • Quality of work performed by third-party vendors

  • Damages caused by third-party service providers

  • Scheduling delays or no-shows by vendors

  • Pricing or billing disputes with vendors

We select vendors in good faith but do not warrant their performance.

Platform Dependencies

Our services rely on third-party booking platforms (e.g., Airbnb, VRBO, Booking.com). We are NOT responsible for:

  • Platform policy changes, fee increases, or rule modifications

  • Account suspensions, deactivations, or penalties imposed by platforms

  • Platform technical issues, downtime, or booking errors

  • Changes to platform algorithms affecting listing visibility

  • Platform payment processing delays or holds

Cancellations and Refunds

Guest cancellations are subject to the cancellation policy set by the booking platform and Property Owner preferences. Once Upon A Cohost is not responsible for lost revenue due to guest cancellations, platform policy changes, or force majeure events.

Force Majeure

Once Upon A Cohost shall not be liable for any failure or delay in performing services due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters (hurricanes, floods, earthquakes)

  • Pandemics, epidemics, or public health emergencies

  • Government orders, regulations, or travel restrictions

  • Acts of terrorism or civil unrest

  • Utility failures or internet/technology outages

  • Labor disputes or strikes

Intellectual Property

Unless otherwise stated, Once Upon A Cohost and/or its licensors own the intellectual property rights for all material on www.onceuponacohost.com, including but not limited to:

  • Website content, graphics, and design

  • Marketing materials and templates

  • Proprietary pricing algorithms and strategies

  • Training materials and documentation

You must not:

  • Copy, republish, or redistribute our proprietary content

  • Use our branding, logos, or materials without written permission

  • Sell, rent, or sub-license materials from Once Upon A Cohost

  • Reverse engineer our pricing strategies or operational processes

Property listings created for your property (photos, descriptions, etc.) are jointly owned. You grant us license to use this content for marketing your property. Upon termination of services, you retain rights to listing content, but we may retain copies for our records and portfolio.

User-Generated Content (Reviews and Testimonials)

Our website may feature client reviews, testimonials, and comments. By submitting a review or testimonial, you:

  • Grant Once Upon A Cohost a perpetual, non-exclusive license to use, reproduce, and display your content

  • Warrant that your content is truthful, accurate, and does not violate any laws

  • Agree that your content does not contain defamatory, offensive, or unlawful material

  • Understand that we may edit content for length or clarity

Once Upon A Cohost reserves the right to remove any content that is inappropriate, offensive, or violates these terms.

We do not guarantee the accuracy of user-generated content and are not liable for opinions expressed by users.

Fees and Payment Terms

Management Fees

Property management fees are outlined in your separate Service Agreement and typically include:

  • Percentage-based commission on gross rental revenue

  • Possible setup or onboarding fees

  • Additional fees for optional services

Payment Processing

  • All guest payments are processed through third-party booking platforms

  • Owner payouts are subject to platform payout schedules (typically 24-48 hours after guest check-in)

  • Once Upon A Cohost deducts management fees from gross revenue before owner payout

  • Property Owners are responsible for all property-related expenses (cleaning, maintenance, utilities, supplies)

Late Payments and Collections

If Property Owners owe fees to Once Upon A Cohost (for services, damages, or unpaid invoices):

  • Late fees may apply after 15 days

  • We reserve the right to suspend services for non-payment

  • We may pursue collection through legal means

  • Property Owners are responsible for all collection costs and legal fees

Termination of Services

By Property Owner

Property Owners may terminate services with 30 days written notice to alonso@onceuponacohost.com. Upon termination:

  • All outstanding fees must be paid in full

  • Active bookings will be honored or transferred per mutual agreement

  • Access to platform accounts will be transferred back to Property Owner

  • Final reconciliation of expenses and revenue will be provided

By Once Upon A Cohost

We reserve the right to terminate services immediately if:

  • Property Owner breaches these terms or the Service Agreement

  • Property becomes unlawful to operate or loses required permits

  • Property condition deteriorates below acceptable standards

  • Property Owner engages in illegal activities or fraud

  • Fees remain unpaid after 30 days

  • Relationship becomes untenable or unsafe for our team

Post-Termination

After termination, Once Upon A Cohost will:

  • Provide final accounting and payout of funds (minus owed fees)

  • Transfer ownership of platform listings and accounts

  • Cease all marketing and management activities

  • Return property keys, access codes, and materials

Liability and Indemnification

Limitation of Liability

To the maximum extent permitted by Florida law, Once Upon A Cohost's total liability for any claims arising from our services shall not exceed the total management fees paid by the Property Owner in the 12 months preceding the claim.

Once Upon A Cohost is NOT liable for:

  • Indirect, incidental, consequential, or punitive damages

  • Lost profits, revenue, or business opportunities

  • Property damage not directly caused by our gross negligence

  • Legal fees or costs associated with guest disputes

  • Tax liabilities, penalties, or assessments

Property Owner Indemnification

Property Owners agree to indemnify, defend, and hold harmless Once Upon A Cohost, its employees, and agents from any claims, damages, or expenses arising from:

  • Property defects, hazards, or code violations

  • Guest injuries or accidents on the property

  • Violations of local, state, or federal rental laws

  • HOA violations or neighbor disputes

  • Unpaid taxes, fees, or regulatory penalties

  • Misrepresentation of property ownership or authorization

Insurance Requirements

Property Owners MUST maintain:

  • Homeowners or Property Insurance covering the full replacement value

  • Liability Insurance with minimum $1,000,000 coverage

  • Short-Term Rental Insurance or host protection policy

Proof of insurance may be required before services commence. Once Upon A Cohost is NOT responsible for obtaining or maintaining your insurance coverage.

Platform-provided host protection plans (e.g., Airbnb Host Protection) are supplemental but should not be relied upon as primary coverage.

Legal Compliance

Short-Term Rental Regulations

Property Owners are solely responsible for:

  • Obtaining all required business licenses, permits, and tax registrations

  • Complying with local zoning laws and short-term rental ordinances

  • Registering with local tourism or tax authorities

  • Paying all applicable taxes (sales tax, tourism tax, occupancy tax)

  • Complying with HOA rules and rental restrictions

Once Upon A Cohost will assist with operational compliance but is not responsible for legal or regulatory violations by the Property Owner.

Tax Obligations

Property Owners are responsible for:

  • Reporting rental income on tax returns

  • Paying federal, state, and local income taxes

  • Remitting occupancy taxes, tourism taxes, or sales taxes as required

  • Maintaining accurate financial records

Once Upon A Cohost will provide revenue reports but is not a tax advisor. Consult a qualified accountant or tax professional.

Privacy and Data Protection

Your personal information and property data are handled in accordance with our Privacy Policy (available at www.onceuponacohost.com/privacy).

We collect and use:

  • Property Owner contact and payment information

  • Property details, photos, and descriptions

  • Guest information for booking and communication purposes

  • Performance data and analytics

We do not sell your personal information to third parties.

Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Polk County, Florida.

Mediation and Arbitration

Before pursuing litigation, parties agree to attempt resolution through:

  1. Good faith negotiation between parties

  2. Mediation with a neutral third-party mediator (costs split equally)

  3. Binding arbitration if mediation fails (Florida Arbitration Code)

Modifications to Terms

Once Upon A Cohost reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to www.onceuponacohost.com.

Continued use of our services after changes constitutes acceptance of modified terms. Material changes will be communicated via email to Property Owners.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms and Conditions, together with any executed Service Agreement and Privacy Policy, constitute the entire agreement between Once Upon A Cohost and the Property Owner.
